GFKK PROVIDES CONSULTANCY FOR MERGER OF BART SP. Z O.O. AND INSTAL-FILTER S.A.
Our team provided consultancy for the buyer – Bart Spółka z o.o. – Wentylacja i Odpylanie – in a transaction concerning the purchase of a majority stake (60%) in INSTAL –FILTER S.A. The transaction was finalised on 8 December this year.
The acquisition of a majority stake is the first step in the process of integrating both enterprises. The merger has resulted in the establishment of a leading group of companies in the Polish industrial air cleaning sector, which provides services to customers across various industries. Its total turnover exceeds PLN 150 million.
GFKK's consultancy services included conducting a due diligence process, participating in the preparation of transaction documentation, advising on negotiating the terms of the transaction and its closing, as well as providing advice related to bank financing for the project.
The legal advisor of INSTAL – FILTER S.A. and the disposing shareholders was the SDZ Schindhelm law firm based in Wrocław.
